Terms of Service

1. Introduction

Welcome to Genesis Research Consultancy Limited (GRCL). These Terms of Service (“Terms”) govern your access to and use of GRCL’s website, research consultancy services, academic and scientific support services, products, communication systems, and other services provided by GRCL.

By accessing our website, submitting an inquiry, placing an order, making a payment, or otherwise using any GRCL service, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with any provision of these Terms, you should not use the relevant GRCL services.

These Terms should be read together with GRCL’s Privacy Policy, Refund Policy, Terms, Policies and Regulations, and any service-specific conditions applicable to a particular engagement.

2. Definitions

For the purposes of these Terms:

2.1. “GRCL,” “Company,” “we,” “us,” or “our”

Refers to Genesis Research Consultancy Limited, including its authorized employees, consultants, representatives, and service personnel.

2.2. “Client,” “Applicant,” “you,” or “your”

Refers to any individual, researcher, student, author, professional, organization, institution, NGO, journal, company, or other entity requesting or using GRCL services.

2.3. “Service”

Refers to any research, academic, scientific, consultancy, editorial, statistical, technical, or related service offered by GRCL.

2.4. “Order”

Refers to a formal request submitted by a Client for a particular GRCL service, together with the requirements, specifications, source materials, deadlines, and other relevant instructions.

2.5. “Product” or “Deliverable”

Refers to the document, report, analysis, consultation output, manuscript, edited material, dataset-related output, proposal, presentation, or other agreed deliverable produced as part of an Order.

2.6. “Writer,” “Consultant,” or “Expert”

Refers to an individual engaged, contracted, or otherwise authorized by GRCL to provide research, writing, editing, statistical, scientific, technical, or consultancy support.

2.7. “Support Staff”

Refers to GRCL personnel responsible for client communication, order coordination, administrative support, technical assistance, quality control, and related functions.

2.8. “Messaging System”

Refers to any GRCL-provided or authorized communication system used for communication between Clients, Writers, Consultants, Experts, and Support Staff.

2.9. “Revision”

Refers to a reasonable modification of a Deliverable to address requirements or specifications contained in the original Order.

2.10. “Affiliate Program”

Refers to any GRCL program through which eligible clients, partners, or other participants may receive specified benefits, discounts, referrals, or other incentives.

3. Nature and Scope of Services

GRCL provides research and consultancy services across multiple academic, scientific, professional, organizational, and development-related areas. Depending on the service requested, GRCL may provide support involving:

  • Research design and methodology;
  • Research problem identification and consultation;
  • Statistical and data analysis;
  • Literature review support;
  • Research proposal development;
  • Manuscript preparation and editing;
  • Scientific and technical writing;
  • Thesis and dissertation support;
  • Research reports;
  • NGO research and project support;
  • Journal and publishing consultancy;
  • Editing and proofreading;
  • Research site selection;
  • Data management and visualization;
  • Training and research capacity development; and
  • Other related consultancy services agreed upon with the Client.

The exact scope of an engagement will be determined by the Order, quotation, service agreement, proposal, or other written confirmation issued by GRCL.

4. Academic Integrity and Appropriate Use

4.1. Educational and Research Support

GRCL’s academic and research services are intended to provide research assistance, professional guidance, educational support, reference material, editing, analysis, and consultancy. Where GRCL prepares academic or research-related materials, Clients are responsible for reviewing, understanding, appropriately using, and, where required, independently developing or adapting the material in accordance with their institution’s academic-integrity requirements.

4.2. No Misrepresentation

Clients must not knowingly represent work prepared by another person or organization as their own where such representation would violate applicable academic, professional, institutional, or ethical requirements. Clients are responsible for complying with the academic-integrity policies of their university, institution, funding body, journal, employer, or other relevant organization.

4.3. Research Integrity

Clients remain responsible for the authenticity and integrity of their research data, research participants, experimental procedures, ethical approvals, institutional permissions, and other information supplied to GRCL. GRCL does not knowingly support fabrication, falsification, plagiarism, manipulation of research findings, or other forms of research misconduct.

5. Eligibility to Use Services

Clients must have the legal capacity to enter into an agreement for the relevant services. Where an individual is accessing services on behalf of an organization, institution, NGO, journal, or company, that individual represents that they have appropriate authority to request the services and enter into the relevant agreement. GRCL reserves the right to decline or discontinue an Order where it reasonably believes that the requested service would involve unlawful, unethical, fraudulent, or otherwise prohibited activity.

6. Ordering Process

6.1. Submission of Requirements

Clients must provide relevant information and requirements through the GRCL website, email, messaging system, consultation process, or another designated communication channel.

6.2. Accuracy of Information

Clients are responsible for ensuring that all information, instructions, datasets, references, documents, specifications, and deadlines supplied to GRCL are accurate, complete, and current.

6.3. Changes to Requirements

Material changes to an Order after work has commenced may affect:

  • The scope of work;
  • Delivery time;
  • Required resources;
  • Professional fees; and
  • The number or nature of revisions.

GRCL will communicate significant changes in scope and, where applicable, obtain the Client’s approval before proceeding with additional chargeable work.

6.4. Order Confirmation

An Order becomes active when the scope, requirements, applicable fee, and other relevant conditions have been sufficiently established and, where required, the agreed payment or advance payment has been received.

7. Client Responsibilities

Clients are responsible for:

  1. Providing accurate and complete project information;
  2. Supplying necessary source materials in a timely manner;
  3. Providing clear instructions and specifications;
  4. Obtaining necessary permissions, ethical approvals, and institutional authorizations;
  5. Ensuring that supplied materials do not unlawfully infringe third-party rights;
  6. Reviewing Deliverables after receipt;
  7. Providing timely feedback where revisions are required; and
  8. Using Deliverables in accordance with applicable laws, institutional rules, journal policies, and ethical standards.

Delays or errors resulting from incomplete, inaccurate, or substantially revised Client instructions may affect the delivery schedule and additional charges may apply.

8. Professional Independence and Responsibility

GRCL provides professional research and consultancy support but does not guarantee a particular academic, research, funding, publication, employment, examination, or institutional outcome. For example, GRCL cannot guarantee:

  • Acceptance of a manuscript by a particular journal;
  • Approval of a research proposal or grant application;
  • A specific examination grade;
  • Acceptance of a thesis or dissertation by an institution;
  • Acceptance of a research methodology by an ethics committee;
  • Funding of a submitted proposal; or
  • Publication or indexing of a submitted article.

Final decisions are made by the relevant university, journal, reviewer, funding agency, regulator, institution, or other authorized body.

9. Delivery of Services

9.1. Delivery

Deliverables will normally be provided through the agreed communication or document-delivery channel within the agreed timeframe.

9.2. Delivery Schedule

Delivery dates are estimated based on the scope of work, Client requirements, availability of required information, and other relevant circumstances.

9.3. Unforeseen Delays

GRCL will make reasonable efforts to meet agreed deadlines. However, delays may occur because of circumstances beyond reasonable control, including technical failures, internet disruptions, emergencies, force majeure events, unexpected complexity, third-party service interruptions, or substantial changes requested by the Client. Where reasonably practicable, GRCL will inform the Client of significant delays and provide an updated estimated timeframe.

10. Revision Policy

10.1. Included Revisions

Where revisions are included in the agreed service, the Client may request reasonable revisions within the specified revision period.

10.2. Scope of Revision

Revisions should relate to the original requirements and agreed scope of the Order.

10.3. Additional Work

Requests involving a substantially different methodology, new research questions, additional datasets, major restructuring, new analyses, substantial new content, or other material changes may constitute new work and may require an additional fee.

10.4. Revision Deadline

Clients should submit revision requests within the period specified in the applicable quotation or service agreement. Requests received after that period may be treated as a new service.

11. Pricing and Payment

11.1. Service Fees

Clients agree to pay the fees specified in the applicable quotation, invoice, service agreement, or other written confirmation issued by GRCL.

11.2. Advance Payment

Certain services may require partial or full payment before work begins. The applicable advance-payment requirement will be communicated to the Client before commencement.

11.3. Payment Methods

Payments may be made through payment methods designated or authorized by GRCL.

11.4. Third-Party Payment Providers

Where payment is processed through a third-party payment provider, the transaction may be subject to that provider’s terms, fees, security procedures, and privacy practices.

11.5. Currency and Additional Charges

Where applicable, currency conversion charges, bank fees, payment-gateway fees, taxes, or other third-party charges may be the responsibility of the Client unless otherwise agreed in writing.

12. Refunds and Cancellation

Refunds, cancellations, and related matters are governed by the applicable GRCL Refund Policy and any specific conditions communicated before an Order is accepted. A refund is not automatically available merely because a Client changes their mind after work has commenced. Where a refund request is submitted, GRCL may assess:

  • The nature and extent of work already completed;
  • The reason for cancellation;
  • Whether the service materially failed to comply with the agreed scope;
  • Whether the Client provided adequate information;
  • Whether revisions could reasonably resolve the issue; and
  • Any applicable contractual or service-specific conditions.

Nothing in these Terms is intended to exclude rights that cannot lawfully be excluded under applicable law.

13. Intellectual Property

13.1. Client Materials

Materials supplied by the Client remain the Client’s property or the property of the respective rights holder, subject to applicable intellectual-property rights.

13.2. GRCL Materials

GRCL may retain ownership of its pre-existing methodologies, templates, systems, processes, proprietary materials, software, know-how, and other intellectual property used to provide services.

13.3. Third-Party Materials

Where a Deliverable incorporates third-party content, databases, images, software, references, or other protected material, use may be subject to the applicable license or copyright conditions.

13.4. Client Responsibility

Clients are responsible for ensuring that materials supplied to GRCL do not unlawfully infringe copyright, confidentiality, privacy, or other third-party rights.

Clients agree to use GRCL Deliverables responsibly and in accordance with applicable copyright, intellectual-property, academic-integrity, and other relevant laws and policies. GRCL does not authorize unauthorized reproduction, redistribution, resale, or commercial exploitation of GRCL-owned materials or third-party copyrighted materials. Where attribution, licensing, permission, or citation is required, the Client is responsible for complying with the applicable requirements.

15. Confidentiality

GRCL recognizes that Clients may provide unpublished research, manuscripts, datasets, proposals, business information, and other confidential materials. GRCL will take reasonable measures to protect such information and restrict access to personnel who require it for legitimate service-related purposes. However, confidentiality obligations may be subject to legal requirements, court orders, regulatory obligations, security concerns, or other circumstances in which disclosure is legally required or reasonably necessary. For particularly sensitive projects, the parties may enter into a separate confidentiality or non-disclosure agreement.

16. Data Protection and Privacy

GRCL collects and processes personal information in accordance with its Privacy Policy. Information may be processed for purposes including:

  • Service delivery;
  • Client communication;
  • Order management;
  • Payment and accounting;
  • Quality assurance;
  • Security;
  • Legal compliance; and
  • Improvement of GRCL services.

Clients should avoid submitting unnecessary personal or sensitive information, particularly information relating to research participants, patients, children, or other vulnerable individuals.

17. Research Ethics and Regulatory Compliance

Clients remain responsible for obtaining all required:

  • Ethical approvals;
  • Institutional permissions;
  • Research permits;
  • Informed consent;
  • Regulatory approvals;
  • Participant permissions; and
  • Other legal or institutional authorizations.

GRCL may provide methodological or consultancy support but does not automatically assume responsibility for approvals that legally belong to the Client, investigator, sponsoring organization, or institution. Where human participants or animals are involved, research must comply with applicable ethical and regulatory requirements.

18. Use of Artificial Intelligence and Digital Tools

GRCL may use appropriate digital, computational, statistical, language-processing, or artificial-intelligence-assisted tools as part of certain services where professionally appropriate. Where AI-assisted tools are used, GRCL will seek to maintain appropriate human oversight and quality control. Clients remain responsible for ensuring that the use of AI-assisted materials complies with the requirements of their university, journal, employer, funder, or other relevant organization.

GRCL may use or link to external services, platforms, databases, publishing systems, payment providers, software, or websites. GRCL does not control the independent terms, privacy policies, security practices, availability, or content of third-party services. Clients should review the relevant third-party terms before using such services.

20. Prohibited Activities

Clients must not use GRCL services to:

  • Commit or facilitate unlawful activity;
  • Fraudulently misrepresent qualifications or achievements;
  • Infringe intellectual-property rights;
  • Submit another person’s work as their own where prohibited;
  • Fabricate or falsify research data;
  • Manipulate research results deceptively;
  • Violate research-participant rights;
  • Obtain unauthorized access to computer systems or data;
  • Distribute malicious software;
  • Harass or threaten GRCL personnel or other users; or
  • Engage in any activity prohibited by applicable law.

GRCL reserves the right to refuse or terminate an Order that presents a substantial legal, ethical, security, or reputational concern.

21. User Accounts and Security

Where GRCL provides an account or online portal, Clients are responsible for maintaining the confidentiality of their login credentials and for activities conducted through their account. Clients should promptly notify GRCL if they suspect unauthorized access or misuse of their account. Clients must not share account credentials with unauthorized persons or attempt to circumvent security controls.

22. Limitation of Liability

To the maximum extent permitted by applicable law, GRCL will not be responsible for indirect, incidental, consequential, special, or unforeseeable losses arising from the use of its services. This may include losses associated with:

  • Technical interruptions;
  • Internet or communication failures;
  • Third-party platform failures;
  • Delayed transmissions;
  • Data corruption;
  • Service interruptions;
  • Client-provided errors or incomplete information;
  • Changes in institutional or journal requirements;
  • Rejection of a manuscript or proposal;
  • Academic or professional decisions made by third parties; or
  • Circumstances beyond GRCL’s reasonable control.

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded or limited under applicable law.

23. Force Majeure

GRCL will not be considered in breach of these Terms where performance is prevented, delayed, or materially affected by circumstances beyond its reasonable control. Such circumstances may include natural disasters, epidemics, pandemics, war, civil unrest, government actions, telecommunications failures, power outages, cyber incidents, labor disruptions, failures of third-party infrastructure, or other extraordinary events. GRCL will make reasonable efforts to resume affected services as soon as practicable.

24. Termination or Suspension of Services

GRCL may suspend or terminate an Order or Client access where:

  • The Client materially breaches these Terms;
  • Required payment is not received;
  • The Client provides fraudulent or materially misleading information;
  • The service is requested for unlawful or unethical purposes;
  • The Client repeatedly abuses or threatens GRCL personnel;
  • Continued service creates a significant legal, ethical, security, or operational risk; or
  • Termination is otherwise permitted under the applicable service agreement.

Where appropriate, GRCL will provide reasonable notice before termination.

25. Complaints and Dispute Resolution

Clients who are dissatisfied with a service should first contact GRCL through the designated communication channel and clearly describe the concern. GRCL will make reasonable efforts to review legitimate complaints and seek an appropriate resolution, which may include clarification, correction, revision, additional support, or another remedy where appropriate. Where a dispute cannot be resolved informally, the matter may be addressed through the appropriate legal or dispute-resolution mechanism available under applicable law.

26. Amendments to These Terms

GRCL may revise these Terms from time to time to reflect changes in:

  • Services;
  • Business practices;
  • Technology;
  • Legal or regulatory requirements;
  • Security practices; or
  • Other operational circumstances.

Updated Terms will be published on the GRCL website with a revised Effective Date or Last Revised date. Clients are encouraged to review the Terms periodically. For an existing Order, material changes will not ordinarily alter conditions that have already been expressly agreed unless required by law or otherwise agreed by the parties.

27. Severability

If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally possible. The remaining provisions will continue to apply to the extent permitted by law.

28. No Waiver

Failure by GRCL to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision at a later time.

29. Entire Agreement

These Terms, together with the Privacy Policy, applicable Refund Policy, service-specific agreements, quotations, invoices, and other expressly incorporated policies, constitute the relevant agreement governing the Client’s use of GRCL services. Where a specific written service agreement conflicts with these general Terms, the specific agreement may govern the relevant service to the extent expressly stated.

30. Governing Law and Jurisdiction

These Terms shall be interpreted in accordance with the laws applicable to GRCL’s principal place of business, subject to any mandatory legal requirements applicable to the Client or the transaction. Any dispute that cannot be resolved through reasonable communication may be submitted to the competent court or other legally authorized dispute-resolution body having jurisdiction over the matter.

32. Acceptance of Terms

By accessing the GRCL website, submitting an Order, requesting a quotation, making a payment, or using GRCL services, you acknowledge that you have had an opportunity to review these Terms and agree to comply with them.

If you do not agree with these Terms, you should refrain from using GRCL’s services.

GRCL recommends that Clients retain a copy of the applicable Terms, quotation, Order confirmation, invoice, and service-specific conditions for their records.
